LAST SHIPMENT: if the late delivery is caused by the buyer, the buyer shall bear the
responsibility. If the delay has being made more than 45 days from the signing of the Sales Contract hereof, the buyer shall pay 3% of total amount each day, and if the delay is more than 6 months, the Seller has the right to dispose the down payment and the goods. If the late delivery is caused by the Seller, the Seller shall inform the Buyer in advance and get confirmation from the Buyer, and the related expense shall be born by the Seller.
(16) 質(zhì)量/數量異議：對于質(zhì)量方面的異議，買(mǎi)方必須在貨物抵達目的港后30天之類(lèi)提出：對于數量方面的異議，買(mǎi)方必須在貨物抵達目的港后15天之內提出。對由于保險公司、運輸公司、其他運輸機構或郵局的原因所造成的貨物差異，賣(mài)方不負任何責任。 QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim shall be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim shall be filed by the buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable, for any discrepancy of goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organization or Post Office are liable.
(17) 不可抗力：賣(mài)方對由于下列原因而導致不能或暫時(shí)不能履行全部或部分合同義務(wù)的，不負責任：水災、火災、地震、干旱、戰爭或其他任何在簽約時(shí)賣(mài)方不能預料、無(wú)法控制且不能避免和克服的事件。但賣(mài)方因盡快地將所發(fā)生的事件通知對方，并應在事件發(fā)生后15天內將有關(guān)機構出具的不可抗力事件的證明寄交對方。如果不可抗力事件之影響超過(guò)120天，雙方應協(xié)商合同繼續履行或終止履行的事宜。
FORCE MAJEURE: Seller shall not be responsible for failure or delay in performance of entire or portion of these Sale Contract obligations in consequence of Force Majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn’t be foreseen or controlled or couldn’t be avoided. But Seller shall inform the incidents to Buyer immediately, and shall delivery the certificate of Force Majeure incidents issued by related organization within 15 days after the incidents happened. If the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or terminate the Sales Contract.
(18) 仲裁：因履行本合同所發(fā)生的一切爭議，雙方應友好協(xié)商解決，如協(xié)商仍不能解決爭議，則應將爭議提交中國國際經(jīng)濟貿易仲裁委員會(huì )（北京），依據其仲裁規則仲裁。仲裁裁決是終局的，對雙方都有約束力。仲裁費應由敗訴一方承擔，但仲裁委員會(huì )另有裁定的除外。在仲裁期間，除仲裁部分之外的其他合同條款應繼續執行。
ARBITRATION: All disputes across from the execution of, or in connection with this Sales Contract shall be settled friendly through negotiation, in case no settlement can be reached, the case shall then be submitted to China International Economic and
Trade Arbitration Commission, Beijing for arbitration in accordance with its provisional rules of procedure. The result of arbitration shall be born by the losing party except for the condition the Commission has other judgment. During the arbitration period, clauses beside of the arbitrated parts shall be executed.
(19) 本合同為中英文對應，一式兩份，買(mǎi)賣(mài)雙方各執一份；合同自賣(mài)方簽字蓋章、買(mǎi)方簽字后生效（傳真件以及掃描具有正版相等法律效應）。

To be packed in new strong wooden case(s) suitable for long distance air/land transportation and well protected from dampness， moisture， shock， rust and rough handling. The Sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage and break damage attributable to inadequate or improper protective measures taken by the Sellers， and in such case or cases any and all losses and / or expenses incurred in consequence thereof shall be borne by the Sellers. One full set of service and operation manuals concerned shall be enclosed in the case(s). The wood packaging the Seller used shall be fumigated and marked with “IPPC” on the surface of wood packaging.

(15) 裝運通知：SHIPPING ADVICE：
The Sellers shall fax to the Buyer the Readiness Notification one week before the goods to be shipped.

13．裝運條款：

賣(mài)方應在合同規定的裝運日期前30天，以電報/電傳/傳真通知買(mǎi)方合同號、品名、數量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買(mǎi)方安排租船/訂艙。裝運船只按期到達裝運港后，如賣(mài)方不能按時(shí)裝船，發(fā)生的空船費或滯期費由賣(mài)方負擔。在貨物超過(guò)船舷并脫離吊鉤以前一切費用和風(fēng)險由賣(mài)方負擔。
The sellers shall , 30 days before the shipment date specified in the contract advise the buyers by CABLE / TELEX /FAX of the contract No. , commodity , quantity , amount , packages , gross weight , measurement , and the date of shipment in order that the buyers can charter a vessel / book shipping space . In the event of the sellers’ failure to effect loading when the vessel arrives duly at the loading port , all expenses including dead freight and / or demurrage charges thus incurred shall be for seller’s account.

15．質(zhì)量保證：
Quality guarantee :
貨物品質(zhì)規格必須符合本合同及質(zhì)量保證書(shū)之規定，品質(zhì)保證期為貨到目的港_____個(gè)月內，在保證期限內，因制造廠(chǎng)商在設計制造過(guò)程中的缺陷造成的貨物損害應由賣(mài)方負責賠償。
The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee .The guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.
16．商品檢驗：賣(mài)方須在裝運前_____日委托 檢驗機構對合同之貨物進(jìn)行檢驗并出具檢驗證書(shū)，貨到目的港后，由買(mǎi)方委托____檢驗機構進(jìn)行復檢。
Goods inspection : The sellers shall have the goods inspected by Inspection Authority days before the shipment and issued the Inspection Certificate . The buyers shall have the goods reinspected by Inspection Authority after the goods arrival at the destination.
17．索賠
Claims:
如經(jīng)中國_____檢驗機構復檢，發(fā)現貨物有損壞、殘缺或品名、規格、數量及質(zhì)量與本合同及質(zhì)量保證書(shū)之規定不符，買(mǎi)方可于貨到目的港后 天內憑上述檢驗機構出具的證明書(shū)向賣(mài)方要求索賠。如上述規定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內買(mǎi)方仍可向賣(mài)方就質(zhì)量保證條款之內容向賣(mài)方提出索賠。
The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
18．延期交貨違約金
Late delivery and penalty
除雙方認可的不可抗力因素外，賣(mài)方遲于合同規定的期限交貨，如買(mǎi)方同意遲延交貨，賣(mài)方應同意對信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規定的違約金。違約金總值不超過(guò)貨物總價(jià)值的5%，差率按7天0.5%計算，不滿(mǎn)7天仍按7天計算。在未采用信用證支付的情況下，賣(mài)方應將前述方法計算的違約金即付買(mǎi)方。
If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負責，但賣(mài)方應將上述發(fā)生的情況及
時(shí)通知買(mǎi)方。
Force Majeure : The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.
20．爭議之解決方式：
Disputes settlement :
□任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應提交中國國際經(jīng)濟貿易仲裁委員會(huì )，按該會(huì )的仲裁規則進(jìn)行仲裁。仲裁地點(diǎn)在中國深圳。仲裁裁決是終局的，對雙方均有約束力。
All disputes arising out of the contract or in connection with the contract , shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen China . The arbitral award is final and binding upon both parties.

21．法律適用
Law application :
本合同之簽訂地、或發(fā)生爭議時(shí)貨物所在地在中華人民共和國境內或被訴人為中國法人的，適用中華人民共和國法律，除此規定外，適用《聯(lián)合國國際貨物銷(xiāo)售公約》。
